글로벌 주요 시장 내 신규 규제 이슈, 기업 지배구조 및 신규 사업 기회에 대한 명확하고 실행 가능한 법률 자문 제공

Cross-border 거래 주도: 글로벌 M&A, 합작투자(JV), 지배구조 개편 등 거래 구조 수립 및 주요 계약서(SPA, SHA 등) 작성·검토·협상
법률 실사 진행/관리: Deal 기획 단계부터 Closing까지 사내 사업 부서 및 외부 전문 자문사와 협력하여 법률 실사(Legal Due Diligence) 진행 및 관리

기업의 비즈니스 목표와 브랜드 평판을 보호하기 위한 cross-border 분쟁 및 소송/중재 프로세스 검토 및 대응 관리
글로벌 사업 운영, 거래 실행 후 PMI(Post-Merger Integration) 및 지배구조 전환 과정에서 발생하는 법적 리스크 식별·평가 및 관련 자문

Draft, review, and negotiate a wide spectrum of complex international commercial agreements, including cross-border supply/procurement, technology licensing, vendor/service agreements, and strategic MOUs.
Deliver clear, actionable legal guidance on emerging regulatory issues, corporate governance, and commercial opportunities across diverse markets.

Drive cross-border transactions: Structure, draft, and negotiate transaction documents for global M&As, joint ventures, and corporate restructurings.
Engage in and manage legal due diligence in close partnership with internal business stakeholders and external advisors from deal initiation through closing.

Engage in review and management of cross border disputes to safeguard the company’s business objectives and reputation.
Identify, assess, and mitigate emerging legal risks across international operations and post-transaction transition and integration.

지원자격

미국 또는 기타 영미법(Common-law) / 영어권 Jurisdictions의 변호사 자격증(J.D. 또는 이에 준하는 법학 학위) 소지자
변호사 자격 취득 후(PQE) 3년 ~ 6년의 법무 경력 보유자 (국제 기업법/상법, cross-border 거래, 글로벌 M&A 분야 중심)
복잡한 영문 계약서 및 법률 문서의 작성, 협상, 분석에 대한 검증된 전문성
한국어 및 영어 비즈니스 커뮤니케이션(구두 및 서면) 능통자 (법률 개념을 비법률 분야 경영진 및 비즈니스 리더에게 명확하게 전달할 수 있는 역량)
Juris Doctor (J.D.) or equivalent legal degree with an active license to practice law in good standing in the U.S. or other common-law/English-speaking jurisdictions.
3–6 years of post-qualification legal experience (PQE) focused on international corporate/commercial law, cross-border transactions, or global M&As.
Demonstrated expertise in drafting, negotiating, and analyzing complex English-language contracts and corporate documents.
Fluency in English and Korean, verbal and written, with the ability to communicate legal concepts clearly to non-legal executives and business leaders.

글로벌 기업 인하우스(해외 계열사 관리 포함) 근무 경력 또는 국내외 선도 로펌의 Corporate/M&A 분야 실무 경력자
다국적 관할 구역의 외부 자문사와의 협업 경험 보유자
Experience as in-house counsel within a global corporation (managing overseas affiliates) or corporate/M&A practice at reputable international or Korean law firm.
Proven track record of effectively working with external counsel across multiple jurisdictions effectively.
