The individual appointed will also take on the role of Chair of the University Audit Committee. </p>\n\n\n<p style=\"margin-bottom: 20px; font-family: san-serif;\">Members of Council are appointed for three years and membership may be renewed for up to two more terms of three years. The role will require a time commitment of one to two days per month and is not remunerated. While meetings during Covid have been held using a video platform, we would expect to hold future meetings in person on the Highfield Campus.</p>\n\n\n<p style=\"margin-bottom: 20px; font-family: san-serif;\">The University is seeking a suitably qualified individual with significant executive level financial and audit responsibility. </p>\n\n\n<p style=\"margin-bottom: 20px; font-family: san-serif;\"><strong><u>The Role</u></strong> – the Chair of Audit Committee will:</p>\n\n\n<ul>\n<li>lead the Committee –to set clear expectations of all committee members, managers and auditors.</li>\n<li>set the agenda – focus the committee agenda on the important matters: quality financial accounting and reporting with effective internal controls and effective institutional internal and external audit processes. </li>\n<li>understand the business of the University and its inherent risks – to recognise the importance of spending time with the internal and external auditors together with other key people around the organisation. </li>\n<li>Provide advice and guidance to the Executive Director, Finance & Planning (CFO) – understanding the complex role of the CFO and develop trust. Help maintain focus on long-term financial performance, help inject objectivity into financial disclosures and facilitate effective audit/management relationships</li>\n<li>set clear expectations for Internal and External Auditors and evaluate auditors’ performance. Help the CFO with succession planning and with ensuring the role of internal audit is understood and supported by executive management. </li>\n<li>With support from the Executive Director, Finance and Planning (CFO) manage the recruitment of both Internal and External Auditors when their specific terms come to an end, ensuring that the candidates meet the requirements of a Russell Group University with a significant bond </li>\n<li>In conjunction the External Auditor ensure that the annual Financial Statements are fit for purpose and presentable to Council</li>\n<li>support continuous improvement of the Audit Committee – take the lead on regular effectiveness reviews. Be involved in helping to identify suitable candidates for future Audit Committee membership.</li>\n</ul>\n\n\n<p style=\"margin-bottom: 20px; font-family: san-serif;\"><strong><u>About you</u></strong></p>\n\n\n<p style=\"margin-bottom: 20px; font-family: san-serif;\">The role holder will have a high degree of integrity, excellent interpersonal skills, tact and diplomacy and strategic vision with the ability to influence positively those inside and outside the University who impact on its strategic direction. The chair must be a strong leader, able and willing to:</p>\n\n\n<ul>\n<li>set the tone for committee debate and discussions</li>\n<li>be dedicated, informed, probing and independent</li>\n<li>Willing to challenge management when appropriate</li>\n<li>Keep the Committee focused</li>\n<li>Identify resources needed to support the work of the Committee</li>\n<li>Take steps to ensure that all Committee members are engaged</li>\n</ul>\n\n\n<p style=\"margin-bottom: 20px; font-family: san-serif;\">An understanding of digital risk (including those related to digital transformation and cyber security) would be additional, preferable but not essential attributes.
